"E-odlot" Foundation (of Support to General Education in the Area of Informatics and Popularization of Internet)

I. General resolutions

§ 1

1. "E-odlot" Foundation (of Support to General Education in the Area of Informatics and Popularization of Internet), hereafter known as Foundation, was founded by Krystyna Jaknowska, hereafter known as Founder, by means of a notarial act, which was made out by the notary Karolina Hyjek-Marchel on March 3rd, 2003 in the notarial office in Poznań at ul Nowowiejskiego 20/3 (Repetytorium A nr 2311/2003), acts on basis of the regulation of the law dated April 6th, 1984 regarding foundations (Dz.U. from 1991 No. 46, pos. 203) and regulations of the present statutes and has legal personality. 2. The Foundation may use the short name "E-odlot" Foundation. 3. Supervision on Foundation's activities is made by the competent Minister in the area of education.

§ 2

The Foundation's period of activities is unrestricted.

§ 3

1. The Foundation may use the stamp with Foundation's name and establish organization's mark. 2. The Foundation may establish special honourable signs and attribute them together with other prizes and other forms of distinguishments to physical and legal persons of merit to the Foundation, as well as to the objectives established by the Foundation.

§ 4

The seat of the Foundation is the city of Poznań.

§ 5

1. The territory of Foundation's activities is the Republic of Poland, however, to enable adequate functioning to carry out the objectives established the Foundation may also carry out its activities abroad. 2. The Foundation may create departments, branches, establishments and also join other Foundations' activities and companies. 3. Other legal persons can not join the Foundation in case when the goals of the Foundation would undergo changes.

II. Objectives and principles of Foundation's activities

§ 6

The statutory objectives of the Foundation are: " to give support to education in the area of informatics and empowerment of the awarenesss through popularization and development of internet as an independent media; " dissemination of knowledge on the possibilities of a practical use of nets for charitable, marketing, promotional and information purposes; " give free of charge consultations and general help on the ways of benefiting from the use of internet for charitable purposes to persons from low income social status; " exchange of information and contacts in the environment of all interested persons in practical use of computers or problems of general education in the area of informatics, taking into special consideration youth environments; " benefit from nets to promote initiatives with charitable character; " help the needy, with special consideration of the protection of animals, the natural resources and protection of the natural environment; " monitoring and documentation of the phenomenons that have place in the Polish internet;

§ 7

The Foundation carries out its statutory objectives by means of:

" organization and management of training, seminars and conferences; " cooperation with periodicals with profile of the area of informatics; " analysis of the use of internet in Poland and cooperation with companies in the area of public relations in this aspect; " promotion of ideas that comply with Foundation's staturry objectives on internet websites; " cooperation with self-governmental administrations, competent institutions, legal and physical persons with regard to the statutory objectives of the Foundation; " cooperation and exchange of information with social organizations and associations in Poland and abroad carrying out similar objectives; " publication of educational materials, bulletins, etc., linked with the statutory objectives of the Foundation; " gathering material and financial resources in the form of donations, inheritances, legacies, securities, banking interests, revenue from economic activities;

III. Foundation's property

§ 8

1. The initial property of the Foundation constitutes its fund in the amount of PLN 2000,00 (two thousand zlotych). 2. From the founder's fund an amount of PLN 1000,00 is determined to undertake economic activity (one thousand zlotych). 3. The remaining property of the Foundation is constituted by financial and material resources, real estates and other properties acquired by the Foundation in the course of its activities. 4. The Foundation may gather its funds in Polish and foreign currencies in proper banks according to the regulations of the Polish law with regard to foreign currencies' exchange. 5. The property of the Foundation serves to the implementation of its statutory objectives.

§ 9

Foundation's revenue comes mainly from:

1) donations, inheritances, legacies, 2) subwentions and donations, 3) public charity and State donations, 4) banking interests and income from property, 5) revenue from economic activities, 6) dividends and income from actions and participation.

§10

The income from donations, inheritances and legacies will be used for the implementation of Foundation's statutory objectives.

§11

In case of establishing the Foundation for inheritance, the Board issues a certificate of receipt of the inheritance only and exclusively with inventary benefaction.

§ 12

1. Physical and legal persons, who will transfer to the Foundation one donation or the total sum of donations equal to at least PLN 2000,00 (two thousand zlotych) may achieve the title of Foundation's Sponsor 2. Foundation's Sponsor title is attributed by the Foundation's Board.

IV. Foundation's economic activity

§ 13

For implementation of its statutory objectives the Foundation may undertake economic activities in the following areas:

§ 14

1. The Foundation may undertake economic activity in Poland and abroad directly or through intermediation of independent organizational companies. 2. The Foundation's direct economic activities will be organized and managed by Foundation's Board. Separate establishments will be managed by their Directors, appinted by the Board. 3. The subject of Foundation's economic activity companies and the scope of authorization and responsibilities of the Directors of the units are specified in organizational regulations established by Foundation's Board. 4. The Foundation may own participation or actions in companies.

§ 15

1. The income achieved from the economic activity undertaken by the Foundation or owned participations and actions in companies will be determined for the implementation of the statutory objectives of the Foundation and to cover expenses indispensable for Foundation's activity. 3. The Foundation runs financial management and accountancy according to the legislation in force.

§ 16

1. In case of liquidation of Foundation's economic activity the remaining resources after the liquidation of the establishment will be transferred to the statutory objectives of the Foundation. 2. For liquidation purposes the adequate legislation in force should be applied, as mentioned in the Commercial Codex of Companies.

V. Foundation's bodies

§ 17

The bodies of the Foundation are:

a) Foundation's Council, b) Foundation's Board.

§ 18

1. The Foundation's Council, hereafter called Council, is constituted by Council's Members, appointed by the Founder. 2. The Council may be constituted by one or at maximum three legal or physical persons, including the President. 3. If a Member of the Council is a legal person, its representation may be made by its authorized representative. 4. The Founder appoints the President of the Council for an unlimited time, however Council's Members for a 3-year period. 5. The Founder transfers the right to establish the statutes and its changes on Foundation's Council. 6. The President manages the work of the Council and benefits from specific rights reserved for this function: - the right to repeal a Council's Member at any time if he/she recognizes that it lies in the interest of the Foundation; - the right to appoint a new Council's Member; - the right to appoint and repeal Board's Members and the selection of the President; 7. The President of the Council may at any time renounce from the right of fulfilling his/her function, but in this situation he/she is obliged to indicate a new person, who will be fulfilling the function of the President. 8. In case of death of the President or his/her sickness making impossible aware management of activity, his/her function will be transferred to a person determined in written form by the President for the case of such circumstance. 9. Council's meetings are organized by the initiative of Council's President or the Board at least once a year, not later than up to December 30th. The meeting will be organized with the participation of Board's representative. During the meetings protocols will be issued with Council's President signature. 10. The resolutions of the Council are undertaken by means of the majority of voices. In case of equal number of voices the voice of Council's President is decisive. 11. The Foundation's Council may appoint external controlling commission for Boards financial activity as well as external advisory bodies, as for example a program council.

§ 19

The tasks of the Council are:

1. to establish the scope and form of Foundation's activities according to its statutory objectives; 2. supervise the implementation of Foundation's statutory objectives; 3. establish the system of remuneration of Foundation's Board; 4. in case of liquidation of the Foundation, to appoint the person authorized for the liquidation and establish his/her remuneration; 5. examination of adequate way of benefiting from financial resources and other property assets of the Foundation for the implementation of statutory objectives; 6. supervise the work of the Board; 7. confirmation of the balance of accounts and annual reports of Foundation's Board; 8. Release the Foundation's Board after a positive acceptance of the balance of accounts and annual reports of Foundation's Board; 9. express opinions in matters submitted by the Board; 10. establish Foundation's statutes and resolutions regarding its changes; 11. undertake resolutions regarding the creation of departments, branches, establishments and also to join other foundations and companies; 12. undertake resolutions regarding liquidation of the Foundation; 13. undertake decisions in any matters not transferred to the competence of other bodies.

§ 20

1. Foundation's Board is constituted by 3 members appointed by Council's President. The Council's President is also appointed from the members of President's Board. 2. The Board is appointed for a period of 3 years. 3. Will certificates in the name of the Foundation may be submitted by the authorized President together with one member of the Board or two members of the Board acting together. 4. The members of the Board may remain in the Foundation on work conditions. 5. The President of the Board may repeal the Board or one of its Members at any time. This may especially happen in case when the President or member of the Board: a) resigns, b) undertakes work, which character makes impossible adequate fulfilment of Board's member functions, c) as result of sickness, death or disability looses the abillity to fulfill his/her functions, d) does not fulfill the responsibilities of member for a longer time than 1 year, f) unduly fulfills the function of Board's member, g) in a significant way violates the Statutory resolutions, h) acts to the detriment of the Foundation.

§ 21

1. The Board manages the current activity of the Foundation according to its objective, statutes and the obligatory regulations of law. 2. The Board's tasks are constituted mainly by: a) external representation of the Foundation, b) acceptance of donations, subventions, inheritances and legacies, c) resolutions on annual financial plans, d) establishment of the Foundation's budget, e) supervision Foundation's property, f) attribution of the title of Foundation's sponsor, g) appointment of Directors of units and establishment of the scope of their authority and resposibilties, as well as principles of remuneration, h) elaboration of organizational regulations of economic units.

3. Without acceptance of the Council the Board can not undertake any activity or financial operation, as result of which the Foundation's property would change in its amount on value exceeding 5000 zł (five thousand zlotych) or when as result of such activities or operations made during the period of one month, the Foundation's property would change in amount of up to 20 000,00 (twenty thousand zlotych).

4. The restrictions mentioned in the item above do not refer to presentation in the name of the Foundation of will certificates and responsibilities resulting from the restrictions above and connected to applications regarding donations and public grants.

§ 22

The Member of Foundation's Board or Member of Foundation's Council guilty of an action or neglection, which caused harm to the Foundation, replies for it personally.

VI. Liquidation of the Foundation

§ 23

1. The Foundation is subject to liquidation in case of achieving the objectives established for its functioning or in case of running short of financial resources and property. 2. The decision regarding liquidation of the Foundation is undertaken by the Foundation's Council by means of unanimity of resolution. 3. The liquidation of the Foundation is done by a liquidator indicated by the Foundation's Council. 4. Remaining property assets after the liquidation of the Foundation may be transferred to objectives in line with the statutory objectives of the Foundation.

VII. Final resolution:

§ 24

The Foundation is not engaged in any activity related to propaganda, including lobbying. It does not take part in any way in political activities, including campaigns for public offices and support for physical persons.

§ 25

Matters not regulated in the statutes should be subject to regulations of the Law dated April 6th, 1984 regarding foundations (Dz. U. from 1991 No. 46 pos. 203) together with further changes and executive regulations of this law.
